SOMARCO STATUTE

ARTICLE 1
The Name of the Organization

There shall be a Non-Profit and non-political Organization named Somali Animal Rights Community herein referred to as SOMARCO.

ARTICLE 2
a. The definition

SOMARCO was founded December 2004 in Mogadishu, Somalia. The Organization is a voluntary organization that works to advocate and encourage initiatives for protecting and developing animal interests.

ARTICLE 3

Vision and Mission

Vision statement

Our Vision is to ‘end animal suffering’.

Mission statement

The overall mission of Somali Animal rights Community (SOMARCO) is to foster and facilitate about animal rights and the human/animal relations in order to protect animal harassments & suffering.

ARTICLE 4
Headquarter

SOMARCO is centered in Mogadishu, and it may have offices inside and outside the country when the need arises.

Article 5
Objectives

  • To advance the humane treatment of animals through passage of humane education & legislation designed to diminish their mistreatment, distress and animal abuse.
  • To teach society about various issues of animal exploitation and about creative, positive, nonviolent etc.
  • To convince society that even insects have the same feelings -- and rights -- as people.
  • To protect hunt harassment.
  • To Support the direct involvement of community groups and workers in the plans to develop animal rights.
  • To strengthen the activities to develop animal rights especially Pets like dogs, cats, donkeys etc.
  • To lobby at the international level for a positive image of the animal rights, by building strong ties with international organizations that share similar mandates and approaches.

ARTICLE 6

Membership

The members of SOMARCO are ordinary and supporting members.

ARTICLE 7
Organizational Structure

The organs of the Committee are:

  • The Board of Committee
  • The Secretary General
  • The Board of Directors
  • The Treasurer
  • The President

 

The institution of a Board of Auditors and of a Supporting Committee is anticipated.

ARTICLE 8

The total number of the organization constitutes the Board of Committees and its decisions include each member, whether absent or dissident.

ARTICLE 9
Meeting of the Board

    • The Board meets at least once a year
    • Meeting times are set by the discretion of the President
    • A meeting can be convened by the Board or by an agreement between at least two-third of the members.
    • The meeting may be convened by means of a notice sent by post or via e-mail to each associate at least ten days prior to the fixed meeting date.
    • The notice must contain the day, the time and the place of the meeting.
    • The meeting is presided over by the President or, in his absence, by a member of the Board designated at each meeting by those present.

ARTICLE 10

Responsibilities of the Board of Committees:

    • Appoints the components of the Board of Directors;
    • Appoints the components of the Board of Auditors;
    • Approves the annual budget;
    • Deliberates the issues regarding the life and the activities of the Organization;
    • Deliberates the modifications of the statute.
    • Issues are approved by simple majority of those present.
    • Each member may represent only one other absent member, by means of a written delegation.

ARTICLE 11

    • The Board of Directors is composed of 7 members elected by the Board of Committees at the first meeting in the established seat of the Organization.
    • The Board of Directors practices its functions within the bounds of the directives decided by the Board of Committee..
    • The office of Director is a non-paying position.
    • The directors hold office for two years and can be re-elected.
    • In case of resignation, the Secretary General provides a substitute by co-optation and the substitute remain in charge until the next meeting of the Board of Organization.
    • The Board of Directors meets at least three times a year.
    • It meets either at the President’s discretion or at the request of at least three of its members.
    • The meetings are presided over by the President, or, in its absence, by another member designated at each meeting by those present.
    • A written convocation is requested at least five days before the fixed date; in emergency cases the meeting can be held with only 24 hours notice.
    • The Board of Directors can invite at its meetings the persons in charge for the projects of the Organization and other external experts.

ARTICLE 12

Responsibilities of the Board of Directors:

    • Elects the Secretary General
    • Elects the Treasurer
    • Elects the President/ Chairman
    • Prepares the estimated and final budgets
    • Deliberates banking and financial matters
    • Deliberates activities, coherently with the indications of the Board of Committees
    • Employs personnel
    • Deliberates about the requests of membership
    • Fixes the amount of the admission and annual fees

ARTICLE 13
President of the Organization

  • The President holds office for two years and can be re-elected.
  • In case of absence a substitute is designated by the Board of Directors
  • The President represents the legal delegations of the Organization.
  • The President convenes and presides over the meetings of the Board of committees and the Board of Directors.
  • The President signs every administrative deed of the Members.
  • The President deals with external relationships with Organizations and Institutions.

ARTICLE 14
The treasurer

    • The Board of Directors, on the basis of the proposals of the Financial Director, elects the Treasurer.
    • The Treasurer co-operates with the Financial Director and in particular
    • Collects any credit, order of payment and contribution receipts.
    • Registers the list of the members
    • is in charge for the payment of the expenses
    • Compiles the minutes of the meetings.

ARTICLE 15
Board of Auditors

The Board of Auditors is designed by the Board of Committees and is composed of three members.

  • An auditor holds office for two years and can be re-elected.
  • The members of the Board of Auditors are not required to be Committees.
  • The responsibilities of the Board of Auditors are those provided by the Civil Code.

ARTICLE 16
Supporting Committee

The formation of a Supporting Committee is anticipated. This Committee will share the general political lines of the Organization and will provide cultural support in the various activities that are to be carried out. The Supporting Committee holds no management responsibilities.

ARTICLE 17
Finance

The Association’s financial year begins January 1 and ends December 31 annually.

The economic resources of the Association, for the functioning and the implementation of the activities consist of:

    • Voluntary donations by individuals and committees.
    • Membership fees.
    • Voluntary contributions of committees and non-committees.
    • Contributions of the government and other national institutions.
    • Contributions of international organizations and institutions.
    • Returns from subscriptions and other initiatives.
    • Any other gift permitted by law and accepted by the Association.
    • Any financial operation is signed by both the Financial Director and the Treasure

ARTICLE 18

DISSOLUTION

The dissolution of the Organization must be decided by the Board of Committees, which has the faculty to designate one or more liquidators and to determine their powers.

ARTICLE 19

AMMENDMENTS

  • The Board of Committee shall make amendments to the statute of the Society
  • The amendments of the statute shall require the presence of the two third of the BOC.
  • The amendment shall strictly adhere to the inevitable changes deemed necessary by the circumstances on the ground and the growing demands of the Society
  • The amendment may come in part(s), sentence(s) or clause(s).

ARTICLE 20

REGISTRATION

SOMARCO shall be registered in accordance with the relevant laws in force in Somalia, governing the establishment of non-governmental institutions.
